RULES OF THE AIRBUS HELICOPTERS PHOTO CONTEST

ARTICLE 1 - ORGANIZER

AIRBUS HELICOPTERS, a Simplified Limited Company (société par actions simplifiée) registered with the Trade Register of Aix-en-Provence, under number 352 383 715, whose registered office is located at Aéroport International Marseille-Provence – 13725 Marignane Cedex – France, is organizing

A free photography contest, with no purchase necessary, which will be held from 25 September 2019 to 08 November 2019 in connection with preparation of the AIRBUS HELICOPTERS 2020 commercial calendar.

ARTICLE 2 – CONDITIONS OF ENTRY

This contest is open to individuals who have reached the age of majority acting on behalf of a legal entity. Employees of AIRBUS Group and any person helping to organize the contest are not eligible.

Natural person employees and/or corporate officers of a legal entity will be allowed to take part in the contest provided that they have received permission from their management and subject to regulations in force.

To enter the contest, entrants must sign up on the www.airbushelicopters.com/events/photos_contest/man-and-machine/en/home.html website and submit their entries under the heading “Participer” (Entry). Entrants must submit their photograph(s) before the closing date of the contest, i.e. by 08 November 2019 at 11:59 p.m. (French date and time of connection being proof thereof). Once the contest has closed, each entrant will be informed by email of the total number of entrants.

Submitted photographs must fit the theme of the contest: « Machines & people ». Each entrant may submit a maximum of 3 (three) photographs.

All photographs must feature one or more aircraft of the current AIRBUS HELICOPTERS range included in the catalogue. Any photograph in breach of good morals and public policy or which promotes potentially dangerous attitudes or situations for air safety and/or the safety of people or equipment shall not be selected.

Each entry must meet the following criteria:
-        Photographs must be in JPEG digital format (.jpg or .jpeg), 30 Mb (Megabits) or smaller.
-        Photographs must be at least 3,000 x 2,000 pixels
-        Photographs must ideally be in landscape format

Any entry registered after the closing date and time specified above will be disqualified. Any entry in the contest involves unconditional acceptance of these rules.

Only photographs uploaded onto the website using the procedure described above will be accepted.

ARTICLE 3 – WINNERS AND CONTEST PRIZES

70 (seventy) photographs will be pre-selected by AIRBUS HELICOPTERS within 15 (fifteen) working days of the closing date of the contest. The 70 (seventy) preselected photographs will be published on the www.airbushelicopters.com/events/photos_contest/man-and-machine/en/home.html website.

Following the preselection, an independent panel comprised of 7 (seven) judges including 2 (two) photography professionals will meet in order to select and rank the 13 (thirteen) winning photographs based on a grading system established in accordance with the following criteria:

Originality of the photograph (including but not limited to compliance with the theme of the contest, accentuation of the subject / objects, type of mission, etc.) /5
Photographic quality (including but not limited to sharpness, colors, framing, etc.) /5
Usefulness of the photographed mission /5
Emotional reaction to the photograph /5
Total out of 20

AIRBUS HELICOPTERS reserves the right to disqualify, at any time and without notice, any person who displays an unfair attitude with regard to this contest and its organization.

The contest results and the name of the winners will be announced on the AIRBUS HELICOPTERS website on the contest page. Winners will be individually contacted to inform them that they have been selected.

Each winner will enjoy the recognition offered by the contest as well as the visibility of the photographs being published on social media, the website, ROTOR Magazine and in the AIRBUS HELICOPTERS 2020 calendar.

In relation to the top 13 (thirteen) photographs selected amongst the 70 (seventy) preselected photographs, AIRBUS HELICOPTERS will award the prize to
-         either the natural person who took the photograph if this person is employed by a legal entity customer of AIRBUS HELICOPTERS
-         or the legal entity customer of AIRBUS HELICOPTERS if it has obtained the rights from the person who took the photograph.

Each winner will receive the following prizes:
-         Publication of the winning photograph in the AIRBUS HELICOPTERS calendar worldwide
-         Dissemination of the winning photographs on the AIRBUS HELICOPTERS website throughout the month of January 2020
-         2 (two) invitations to the HAI trade show as well as an invitation to the customer event to attend the award ceremony
-         A pilot bag and a bomber jacket personalized with the image of the aircraft represented on the winning photograph.

These prizes will be awarded by one or more members of AIRBUS HELICOPTERS to each winner during an award ceremony held during the HAI 2020 tradeshow from 27 to 30 January 2020 (hereinafter referred to as the “Event”).
Winners are hereby advised that prizes may not be transferred, exchanged or combined and may not be redeemed for cash or any other consideration of whatever nature.

Winners shall have 3 (three) months after publication of the results on the AIRBUS HELICOPTERS website to claim their prizes from AIRBUS HELICOPTERS if they have not received them beforehand.

ARTICLE 4 – LIABILITY

AIRBUS HELICOPTERS shall assume no liability for any system malfunctions which occur during submission of the files containing the photographs, any network congestion or any failure caused by external malicious acts which would prevent the proper submission of the photographs.

 
AIRBUS HELICOPTERS shall not be held liable for any entry submitted after the closing date of the contest, even for one of the aforementioned reasons. Such an entry shall be invalid.
 
AIRBUS HELICOPTERS reserves the right to cancel, postpone, extend, shorten or modify the contest where circumstances dictate this or any other reason without having to justify this decision and without incurring its liability.

ARTICLE 5 – PROCESSING AND PROTECTION OF PERSONAL DATA

AIRBUS HELICOPTERS undertakes to protect the rights of individuals in accordance with the General Data Protection Regulation (regulation EU 2016/679) of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, as well as all other applicable personal data protection laws and regulations.

ARTICLE 6 – AUTHORIZATIONS AND WARRANTIES

6.1 - Publication

 
By sending in their photographs, all entrants and winners assign to AIRBUS HELICOPTERS, free of cost, and on a non-exclusive basis, for the entire world, all property rights in said photographs, including the rights of exploitation, distribution, publication, adaptation, representation and reproduction so that AIRBUS HELICOPTERS may make use thereof, without exception or reservation, in order to promote its helicopters as part of its internal and/or external communication, in relation to this contest, by any current or future method, on any current or future medium as from the day the final panel of judges makes their decision and throughout the period corresponding to the 2020 calendar year. Entrants are reminded that photographs may be used on physical and/or digital media.
No use in any other context than that specified above may be made without the author’s prior consent. Accordingly, the entrants and AIRBUS HELICOPTERS reciprocally undertake to come together in order to negotiate an extension of the initially granted scope of exploitation.
 
This assignment granted by each entrant to AIRBUS HELICOPTERS is a prerequisite for entering the contest. AIRBUS HELICOPTERS undertakes to mention the names of the photographers upon any use of the photographs.
 
Entrants expressly agree that should AIRBUS HELICOPTERS use their photographs, said photographs may be modified, reframed and/or accompanied by written comments in line with the needs and requirements of the calendar layout and/or during the Event and/or their publication by AIRBUS HELICOPTERS on the https://www.airbus.com/helicopters.html website.
 
Entrants acknowledge that the rights are assigned free of cost and consequently shall not claim any compensation whatsoever for the use of their photograph(s) in connection with this contest. Entrants acknowledge that AIRBUS HELICOPTERS may under no circumstances be forced to publish the photographs.
 
6.2 – Authorization and Certification
 
Entrants warrant AIRBUS HELICOPTERS that they hold all intellectual property rights in the photographs and, as applicable, that they have obtained any authorization from third parties for AIRBUS HELICOPTERS to freely use the photographs without disturbance. In any case, entrants are responsible for signing authorizations regarding image and property rights.
 
6.3 – Warranties
 
By entering the contest, entrants warrant that they are the sole creators of the photograph(s) entered into the contest and/or that they hold all rights and authorizations (refer to Article 6.2) required for exploitation by AIRBUS HELICOPTERS of the entered photographs and that they do not infringe on any preexisting works.
 
Entrants warrant AIRBUS HELICOPTERS undisturbed enjoyment of the assigned rights under the conditions specified in these rules and shall hold AIRBUS HELICOPTERS harmless from any difficulties, action, claims, opposition or eviction whatsoever of any third party in relation to the ownership and/or exploitation of the photographs. Entrants undertake to enforce these rights and in any case shall indemnify and hold AIRBUS HELICOPTERS harmless from any legitimate claims and any expenses or damages arising therefrom from AIRBUS HELICOPTERS further to such claims.
 
Entrants warrant AIRBUS HELICOPTERS that by entering the contest, they have not carried out any unlawful activity or any activity that is contrary to public policy.
Entrants shall not claim any compensation for the use of their photograph(s) in connection with the contest.

ARTICLE 7 – PUBLICATION OF THE RESULTS

AIRBUS HELICOPTERS will publish the results of the 13 (thirteen) winners of the contest during the month of December on the www.airbushelicopters.com/events/photos_contest/man-and-machine/en/home.html website. The winning photographs will then be released in early January. Winners shall be individually informed before official publication of the results.

ARTICLE 8 – ADVERTISING FOR THE CONTEST

AIRBUS HELICOPTERS reserves the right to advertise the contest on various advertising media such as on the https://www.airbus.com/helicopters.html website and on social media.

ARTICLE 9 – FILING OF THE RULES

These rules have been filed at the office of SCP Pansard, de Marans, Cunin, Sala, Mondoloni, bailiff partners, 1 rue Alessandro Volta BP10061 – 13692 Martigues Cedex – France, and may be consulted throughout the entire contest period on the website : https://www.airbushelicopters.com/events/photos_contest/man-and-machine/en/regulation.html

ARTICLE 10 – APPLICABLE LAW

These rules are governed by French law.

 
In the event of any conflict between the French and English versions, the English version shall prevail.
 
Should any dispute arise during this contest and/or in relation to the construction or application of these rules, requests shall only be admissible within a period of 15 (fifteen) days following publication of the results and must be made to AIRBUS HELICOPTERS by registered letter with acknowledgement of receipt sent to the following address: AIRBUS HELICOPTERS - Aéroport International Marseille-Provence – 13725 Marignane Cedex – France.
 
² No response shall be provided to any oral request.
 
Any dispute arising during this contest and/or in relation to the construction or application of these rules shall be amicably settled. Failing an amicable settlement, the dispute shall be brought before the courts of Aix-en-Provence with jurisdiction.
